These Terms & Conditions ("Terms") form a binding agreement between you and nghtstand, Inc., a Delaware corporation ("nghtstand," "we," "us," or "our"), governing your access to and use of the nghtstand website, mobile and web applications, and related services (together, the "Service"). By creating an account, checking the boxes at sign-up, or using the Service, you acknowledge that you have read, understood, and agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service. These Terms contain an assumption of risk and release (Section 7), a limitation of liability (Section 17), and a binding arbitration agreement and class-action waiver (Section 19). Please read them carefully.

1. Eligibility: 18 or older only

The Service is strictly for adults. You must be at least 18 years old (or the age of legal majority where you live, if higher) to create an account or use the Service. We verify your date of birth at sign-up, and each time you use the Service you represent and warrant that you are 18 or older. You also represent that you are legally permitted to use the Service, that you are not a convicted or registered sex offender, and that you have not previously been banned from the Service. The Service is intended for consenting adults and may include adult content within private messages between matched users.

2. Your account

You agree to provide accurate, current, and complete information, to keep it updated, and to keep your password confidential. You are responsible for all activity that occurs under your account. You may maintain only one account, may not share it, and may not transfer it. Notify us immediately of any unauthorized use. We may refuse, reclaim, or remove a username, and may require identity or age re-verification at any time.

4. Your content

You retain ownership of the content you create, such as your profile information, messages, and photos ("User Content"). By making User Content available, you grant nghtstand a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, cache, reproduce, adapt, transmit, and display that User Content solely to operate, provide, secure, moderate, and improve the Service. You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate these Terms or any law or third-party right. You are solely responsible for your User Content. We are not obligated to store your User Content and may remove it at any time.

5. Photos & moderation

To protect our community, images are automatically scanned before they are shown, and no image is displayed publicly until it passes review. Public photos (profiles and the board) must be non-explicit. Private messages between matched adults may contain lawful adult content. In every case, public or private, images are scanned for illegal content and anything involving minors, which is always blocked and reported. We may hold, reject, blur, or remove any image, and may limit or remove any account, in our discretion, and we are not liable for doing so or for any moderation error.

6. Payments and refunds

nghtstand+ is offered as an auto-renewing subscription (currently $9.99/week, $19.99/month, or $149.99/year). Payments are processed by our billing partner, CCBill; by purchasing, you also agree to CCBill's terms, and you authorize us and CCBill to charge your selected payment method.

Auto-renewal. Subscriptions automatically renew at the then-current price at the end of each billing period, weekly, monthly, or annually, depending on the plan you choose, until you cancel. You can cancel at any time; cancellation stops future renewals and takes effect at the end of the current period.

Refunds. Payments are generally non-refundable, and we do not provide automatic refunds or credits for partial periods, unused time, or features when you cancel, stop using the Service, or your account is suspended or terminated. However, refunds are considered on a case-by-case basis through our billing partner, CCBill, who you can reach at consumersupport@ccbill.com or 1.888.596.9279. Where a non-waivable law grants you a refund or cancellation right, that law controls to the extent it applies to you. We may change prices, plans, or features on a going-forward basis; material changes will be communicated before they take effect. See our Billing & Refund Policy and Contact page for details.

7. Safety: you interact and meet at your own risk

nghtstand is a platform that lets adults find and message each other. We are not a party to any interaction between users, and we do not screen, interview, or conduct criminal-background, sex-offender, health, or identity checks on users. A verification badge only indicates that a submitted selfie passed a basic automated check; it is not proof of identity, character, health, or safety. We do not endorse or vouch for any user or anything they say or do.

You alone decide whether, when, where, and how to communicate with or meet any other person, and what personal information to share. You share your real name, phone number, home or work address, social accounts, financial information, or any other details entirely at your own discretion and risk. We strongly recommend that you keep conversations on nghtstand until you trust someone; meet first in a public place; tell a friend where you are going and use the Safe Meet Check-in; never send money or financial information; and stop and report anyone who makes you uncomfortable.

Assumption of risk. You understand and agree that communicating with and meeting other people carries inherent risks, and you knowingly and voluntarily assume all of them. To the fullest extent permitted by law, nghtstand is not responsible or liable for the acts or omissions of any user or third party, online or offline, including assault, battery, sexual misconduct or nonconsensual acts, harassment, stalking, doxxing, robbery, theft, fraud, extortion, exposure to or transmission of any disease or infection, emotional distress, property damage, injury, or death. If you choose to share your location, address, or identity and you are followed, harassed, stalked, or harmed as a result, that risk is yours, not ours.

Release and waiver.To the fullest extent permitted by law, you hereby release, waive, and forever discharge nghtstand and its officers, directors, employees, and affiliates from any and all claims, demands, damages, liabilities, and causes of action of every kind, known or unknown, arising out of or relating to your interactions, dealings, or meetings with other users, whether occurring online or in person. If you are a California resident, you expressly waive California Civil Code § 1542, and you waive any comparable statute or rule in your jurisdiction, which would otherwise preserve claims you do not know or suspect to exist at the time of this release.

Tools you can use, free. Every user can, at no cost: block another user; report a user (for spam or scams, harassment, violence or threats, illegal activity, nudity on a profile, someone who appears underage, or anything else); and delete a conversation and its messages. If you are in immediate danger, contact your local emergency number (in the U.S., 911) and report crimes to the police. Reporting to us does not replace reporting to the authorities, and we do not guarantee any particular response, timing, or outcome.

8. Health and sexual-health disclaimer

nghtstand does not provide medical advice and does not test, screen, or verify any user for HIV, sexually transmitted infections or diseases (STIs/STDs), or any other health condition. Any health-related information in a profile is self-reported and unverified. You are solely responsible for your own health and safety and for protecting yourself and others, including through testing and safer-sex practices. To the fullest extent permitted by law, nghtstand is not liable for the contraction or transmission of any STI/STD or other illness or condition, or for any health consequence, arising from your use of the Service or your interactions with other users.

9. Location

The Service is location-based. We store your true location securely and only ever show other users an approximate, fuzzed position; we do not put your coordinates in a web address. You control your precision (Precise or Approx) and can hide from the map with Discreet mode. See the Privacy Policy for details.

10. Our right to moderate and remove: at our discretion

We reserve the right, but assume no obligation, to monitor, review, screen, refuse, edit, blur, restrict, or remove any User Content, profile, message, board post, photo, or account, and to suspend or terminate any user, at any time, with or without notice, and in our sole discretion, including where we believe a user or content is harmful, deceptive, unsafe, abusive, unlawful, or otherwise violates these Terms, or to protect the Service or other users. Content or accounts flagged for CSAM, prostitution, illegal drugs, violence, or other prohibited conduct may be removed and reported. We are not liable to you or anyone else for any such action or for declining to act.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time as described in Section 10 or for any lawful reason. On termination, your right to use the Service ends. Sections that by their nature should survive, including Sections 4 (content license), 5-8, 12-20, and any accrued payment obligations, survive termination. Termination does not entitle you to any refund (Section 6).

12. Third-party services

The Service relies on and may link to third-party services (for example, CCBill for payments, mapping providers, and email delivery). We are not responsible for third-party services, their content, or their practices, and your use of them may be governed by their own terms and policies.

13. Intellectual property

The Service, including its software, design, text, graphics, logos, and the "nghtstand" name and marks, is owned by nghtstand or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal, non-commercial use in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works from the Service except as expressly permitted.

14. Feedback

If you send us ideas, suggestions, or feedback, you grant us an unrestricted, perpetual, royalty-free right to use them for any purpose without compensation or obligation to you.

15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ACCURATE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT YOU WILL FIND ANY PARTICULAR PERSON, MATCH, OR OUTCOME. NO ADVICE OR INFORMATION OBTAINED FROM THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED HERE.

16. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, nghtstand AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR PERSONAL INJURY OR EMOTIONAL DISTRESS, ARISING OUT OF OR RELATING TO THE SERVICE OR YOUR INTERACTIONS WITH OTHER USERS, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

17. Indemnification

You agree to defend, indemnify, and hold harmless nghtstand and its officers, directors, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your use of the Service, your interactions or meetings with other users, or your violation of these Terms or any law or third-party right.

18. Governing law

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs Section 19.

19. Dispute resolution: arbitration & class-action waiver

Except where prohibited by law, you and nghtstand agree to resolve any dispute through binding individual arbitration rather than in court, and you and nghtstand waive the right to a jury trial and to participate in any class or representative action. Arbitration will be conducted on an individual basis. You may bring an eligible claim in small-claims court instead. You may opt out of this arbitration agreement by emailing us within 30 days of first accepting these Terms; if you opt out, disputes will be resolved in the state or federal courts located in Delaware, and you consent to their personal jurisdiction and venue. This Section survives termination.

20. Electronic communications & notices

You consent to receive communications from us electronically (by email or in-app), and you agree that electronic agreements, notices, and records satisfy any legal requirement that they be in writing. We may notify you of material changes to these Terms electronically.

21. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you (for example, by email or in-app) and update the version and date above. Changes are effective when posted (or on a later stated date), and your continued use after that means you accept the updated Terms.

22. General

These Terms and the Privacy Policy are the entire agreement between you and nghtstand regarding the Service. If any provision is held unenforceable, the rest remain in effect and the unenforceable provision will be limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them, including to an affiliate or in connection with a merger, acquisition, or sale of assets. We are not liable for any delay or failure caused by events beyond our reasonable control. You may not use the Service in violation of U.S. export controls or sanctions laws.
